What law, exactly, is it that requires corporations to maximize profits?

This topic comes up every once in a while in op-ed pages, business articles, social commentary, but there is never any citation of which law, where, or if it’s a Federal requirement for incorporation – whatever. Can anybody shed some light on this for me, and others, please?

Pip answers:

I don’t think it’s a law as much as a general principle and practical reality. A board of directors can direct in any way they choose, but they are elected by the stockholders. If a company has a long-standing reputation for doing the expensive but responsible thing, that company would probably attract investors who don’t mind spending more on responsibility. Absent that kind of reputation, what is a CEO’s job according to his investors? To run the company in a way that is profitable, and will therefore increase the value of their stock. Unless the stockholders collectively decide (imagine how impossible this would be if they did agree, and how unlikely it is that they would…) that something other than the value of their stock is more important to them and the company should be run greener, more American, or in a less predatory way, then the CEO and Board are going to figure that if the stock goes up they keep their jobs.

This is one of the big problems with the whole principle of “corporations”. We make a company into a fiction that is legally a person, but that fictional person has no morals, no possibility of jail time, no family to feed, can get out of debt simply by dissolving itself, and doesn’t care in the slightest about the children of tomorrow. Then we expect corporations playing without rules to live in the world with real people. Some of those people will have morals that could put them at a competitive disadvantage. If those people fail, they don’t get to go ‘oops, bankrupt, guess I’ll change my name and start over’. And worst of all, some people will see amoral corporations in the business world and will feel that the best way to compete is to lose their own morality. It used to be that walking away from a mortgage debt when you are able to pay made you a low-life–you promised to pay, you can pay, but you won’t pay, therefore you can’t be trusted. Nowadays that’s just financial strategy–and since the banks are allowed to do it, why shouldn’t I be able to? While I agree that people should be able to do what the banks and other corporations do, I think that the morality and responsibility bar should be raised for corporations, not lowered for real people.

If Romney wants to bank offshore to avoid taxes, why does he not just move to somewhere he likes better?

If Romney does not want to be a part of our county, he is free to leave at any time and stay gone.

And he shouldn’t let the door hit him on the azze on the way out.

Good point. I would never vote for anyone who made millions laying off Americans, robbing their pensions, and shipping their jobs overseas. Back when this country still had a strong moral conscience, that’s what we used to call a traitor.

Why the Republican Conservatives follow a Judaismized version of christianity ?

It says that the True Jews went into slavery on ships. Deuteronomy 28:68 and they had yokes of iron put around their necks. Deuteronomy 28:48. According to Joel 3, the 12 tribes of Israel aren’t even suppose to be in the land of Israel, but when Christ returns he will go and gather all the 12 tribes of Israel and put them back in the land of Israel and set up his 1,000 year reign.

We’re Moving Back To Uncle Sam’s Plantation

Six years ago, I wrote a book called “Uncle Sam’s Plantation.” I wrote the book to tell my own story of what I saw living inside the welfare state and my own transformation out of it.

I said in that book that indeed there are two Americas. A poor America on socialism and a wealthy America on capitalism.

I talked about government programs like Temporary Assistance for Needy Families (TANF), Job Opportunities and Basic Skills Training

(JOBS), Emergency Assistance to Needy Families with Children (EANF), Section 8 Housing and Food Stamps.

A vast sea of perhaps well-intentioned government programs, all initially set into motion in the 1960s, that were going to lift the nation’s poor out of poverty.

A benevolent Uncle Sam welcomed mostly poor black Americans onto the government plantation. Those who accepted the invitation switched mindsets from “How do I take care of myself?” to “What do I have to do to stay on the plantation?”

Instead of solving economic problems, government welfare socialism created monstrous moral and spiritual problems — the kind of problems that are inevitable when individuals turn responsibility for their lives over to others.

The legacy of American socialism is our blighted inner cities, dysfunctional inner city schools and broken black families.

Through God’s grace, I found my way out. It was then that I understood what freedom meant and how great this country is.

I had the privilege of working on welfare reform in 1996, passed by a Republican Congress and signed into law by a Democrat president. A few years after enactment, welfare roles were down 50 percent.

I thought we were on the road to moving socialism out of our poor black communities and replacing it with wealth-producing American capitalism.

But, incredibly, we are going in the opposite direction.

Instead of poor America on socialism becoming more like rich American on capitalism, rich America on capitalism is becoming like poor America on socialism.

Uncle Sam has welcomed our banks onto the plantation and they have said, “Thank you, Suh.”

Now, instead of thinking about what creative things need to be done to serve customers, they are thinking about what they have to tell Massah in order to get their cash.

There is some kind of irony that this is all happening under our first black president on the 200th anniversary of the birthday of Abraham Lincoln.

Worse, socialism seems to be the element of our new young president. And maybe even more troubling, our corporate executives seem happy to move onto the plantation.

In an op-ed on the opinion page of the Washington Post, Mr. Obama is clear that the goal of his trillion dollar spending plan is much more than short-term economic stimulus.

“This plan is more than a prescription for short-term spending — it’s a strategy for America’s long-term growth and opportunity in areas such as renewable energy, health care and education.”

Perhaps more incredibly, Mr. Obama seems to think that government taking over an economy is a new idea. Or that massive growth in government can take place “with unprecedented transparency and accountability.”

Yes, sir, we heard it from Jimmy Carter when he created the Department of Energy, the Synfuels Corporation and the Department of Education.

Or how about the Economic Opportunity Act of 1964 — The War on Poverty — which, President Johnson said, “… Does not merely expand old programs or improve what is already being done. It charts a new course. It strikes at the causes, not just the consequences of poverty.”

Trillions of dollars later, black poverty is the same. But black families are not, with triple the incidence of single-parent homes and out of wedlock births.

It’s not complicated. Americans can accept Barack Obama’s invitation to move onto the plantation. Or they can choose personal responsibility and freedom.

Does anyone really need to think about what the choice should be?

The time is right, our military is spread outside the country and we are like fish out of water. Now What?

Prime time for a bad election, and a terrible tyranny, and an awful situation for a serious Civil War. I do not think Mexico is the biggest problem, but a problem. What do you think the biggest problem is about to be?
Gee, I hate it when I smell rotten stuff, and it stinks in the country right now, something is not good – just haven’t put my finger on the whole story yet.

Freedom and democracy are but dreams the past. While rights and liberties are being sacrificed for the illusory war on terror, America is drifting down the unholy road of tyranny, a tyranny of both an unlimited government and the tyranny of the masses of disenfranchised US citizens (i.e., economic slaves).
We the people talk about being a free country under rule of law, but we are free no more. America is a country run by the rule of men and women without regard for the state or federal constitutions intended to limit, not expand, their power. Our leaders, all but a few, are corrupted by power. And worse is that we the people tolerate it on a daily basis and let the mainstream media manipulate our minds, feed us lies, disinformation and propaganda, and make decisions for us. Our choices for leaders are all from the same school with similar agendas.

We the people talk about democracy, but are run more like a totalitarian dictatorship with absolute disregard for the rights and property of the people of this country and the people of other countries around the world. Yet we stand by, do little or nothing and tolerate this abuse instead of accepting responsibility for our

present condition.

The American military fights wars of intervention to bolster our weak economy and dependency on oil, and has done so for fifty or more years. The American military is being used by the global elite to implement a new world order agenda of one world government, one world bank, one world money system, one world military under the absolute control of a plutocracy, and has done so for decades. This is not America, not the America I love and celebrate this July 4th.

Wake up America

The American people have fallen asleep at the wheel of the worlds only superpower. Its time to wake-up, stand up and be counted. With over 2.1 million people behind bars, mostly for nonviolent, political crimes against the State, America has the distinction of being the prison capital of the world.

While our children and their education has been all but abandoned by schools and parents alike; while the core family unit is broken; while the sick and diseased are left without health care and sold expensive drugs instead; while the environment is destroyed by over consumption and excess and while our moral condition is undermined by mass media, we the people have been asleep for decades. Isnt it time to wake-up America?

The tyranny of England in the 1700s has been replaced with the tyranny of an ever-increasing government presence and control over every aspect of our lives. Freedom and democracy are but dreams the past. While rights and liberties are being sacrificed for the illusory war on terror, America is drifting down the unholy road of tyranny, a tyranny of both an unlimited government and the tyranny of the masses of disenfranchised US citizens (i.e., economic slaves).

The emerging tyranny of the federal United States government is beyond compare and has been usurped by the global elite (e.g., 9/11) for the explicit purpose of creating a world government system under their absolute control (e.g., NAFTA, GATT, WTO, IMF). The American military is the new world army, invading any country (starting with the poorer ones like Afghanistan and Iraq who cannot defend themselves) daring to challenge a world authority by asserting national sovereignty.

Over six-hundred types of taxes, inflation and devaluation of the US Dollar burden the poor even more than the rich in America, as the power structure has found effective ways to structure assets and diversify to minimize liabilities.

Taxes consume up to 60% of the annual incomes of most Americans. Abolishing the personal and corporate income tax would not only provide an annual raise of household income, provide an incentive to empower the producers, but stop much of the corruption, theft of the public trust and wasteful pork in Washington DC

it will take more than fireworks, flag waving and hot dogs to restore independence in these united states of America. America of the past is gone. America before 9/11 is gone forever.

The America of the future will become a totalitarian, police state under the thumb of Orwells greatest nightmare. Worse is the majority of the American people dont care, stand by and do nothing except turn the channel. We the people are entertaining ourselves to death under the gray sky. Love for country and a moral conscience, besides hollow patriotism and blind obedience, have all but vanished from the political landscape of scarcity-based thinking, corruption, greed, violence, moral degradation, usury and exploitation.

Well, my American friends there are solutions for those with the ears to hear, if we the people bring them forth and dare to take action before its too late. The hour is passing and quickly Americans will be on the road of no return and extinction. As Thomas Jefferson once predicted, Americans will one day wake up homeless in the land of their forefathers And so it is happening. “I believe there are more instances of the abridgement of the freedom of

What is the maid of honor supposed to do?

My mom is getting married later this year and i’m the maid of honor. I have no clue as to what i’m supposed to do.

Maid of Honor Responsibilities: What you need to know.

The coveted Maid of Honor position in your bridal party can actually turn out to be a fair amount of work, so it’s wise to ask someone reliable, with whom you are extremely close. Aside from that, anything goes, and you should feel free to choose anyone you want, whether it’s your single roommate, your married sister (she would be a Matron of Honor), your grandmother, or even the guy you have been best friends with since first grade (he would be called an Honor Attendant). If you have two sisters or best friends and can’t possibly choose between them, you can simply split the duties and ask both. Following is a breakdown of general Maid of Honor responsibilities


During the engagement period, the Maid of Honor should be there for the bride to share insights, discuss ideas, and offer moral support. She should also be prepared to:

Assist with pre-wedding tasks such as addressing invitations, or sorting through and recording gifts.

Attend all pre-wedding parties and possibly host one with the other attendants, such as a shower, tea, or special wedding-day breakfast for the bride.

Serve as the liaison between the bride and the rest of her bridal party, arranging logistics such as bridesmaids’ fittings and pre-wedding party schedules.

Wedding Day:

On the wedding day, the Maid of Honor should be alert to the bride’s needs throughout the day. Her duties may range from running short errands, such as grabbing a hair pin from the changing room, to helping the bride bustle her train, arrange her veil, or assist her to the bathroom. Acting as bridal party team leader, for example making sure that flowers are on the same side of each attendant’s hair, that necklaces are in place, and that the bridesmaids are all ready to walk down the aisle on time.

Greeting the ceremony officiant and showing him or her where the ceremony will be performed.

Holding the bride’s bouquet during the ceremony.

Holding the groom’s ring during the ceremony, until it is needed.

Signing the marriage certificate as one of the two witnesses required by law.

Post Wedding:

The Maid of Honor’s duties don’t necessarily end with the cutting of the cake or the last song played at the wedding.

If the bride and groom leave immediately for their honeymoon, the Maid of Honor may take responsibility for bringing the bride’s dress home or to a dry cleaner.

She may also be helpful, along with the best man, to deposit any gifts of checks or money into the bank while the couple are on their honeymoon, (after recording who gave what of course).

Finally, she may be asked to help move gifts from the wedding site to the newlyweds’ home.
